MERCHANDISE LICENSING

Merchandise licensing refers to a transaction in which a property owner (the "licensor") grants a license to another party (the "licensee") to manufacture, market and distribute merchandise that incorporates or otherwise uses the property, in exchange for a royalty based on sales of that merchandise. The licensed property may be copyrighted artwork or designs, characters, trademarks, or celebrity names or images. The list of products that can be manufactured and distributed under a merchandise licensing program is almost infinite. Licensed product categories include apparel, toys and games, accessories, collectibles, cosmetics, food and beverages, gifts and novelties, housewares, books, footwear, furniture and home furnishings, infant products, sporting goods, stationery and paper products, videogames and software.
